1. Introduction and Acceptance

These Terms of Sales (“Terms”) govern your access to and use of the website, services, and online store (collectively, the “Services”) provided by Tektōra Limited (“we,” “us,” or “our”).

By accessing, browsing, or placing an order through our Services, you (“User,” “you,” or “your”) confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms in their entirety, you are prohibited from using the Services.

2. Definitions

“Products” refers to the watches, straps, accessories, and any other physical goods offered for sale through our Services.

“Pre-Order” refers to an order placed for a Product that is not yet in stock or ready for immediate shipment, as indicated on the Product pages.

“Limited Edition” refers to a Product that is produced in a finite quantity, as indicated on the Product pages, and will not be re-released after the initial production run.

“Content” refers to all materials provided through our Services, including but not limited to text, graphics, images, videos, and product descriptions.

“Order” refers to any request to purchase a Product submitted by you through our Services.

3. Product and Order Terms

3.1 Eligibility

You must be at least 18 years old to place an order through our Services. By placing an order, you represent and warrant that you meet these eligibility requirements.

3.2 Product Descriptions and Accuracy

We strive to ensure that all product descriptions, images, specifications, and prices are accurate and up-to-date. However, we do not warrant that product descriptions, images, or other Content are error-free, complete, or current.

Product images are for illustrative purposes only. Product colors, textures, and perceived scale may vary slightly due to monitor settings and photography lighting.

3.3 Limited Edition Products

Products described as “Limited Edition” are produced in a finite quantity, as specified on the Product pages. Once the stated quantity is sold, no further units will be produced. We reserve the right to limit the quantity of Products purchased per customer.

3.4 Pre-Orders

By placing a Pre-Order, you acknowledge that the Product is not yet available for immediate shipment. Estimated delivery dates are provided in good faith but are not guaranteed. We will notify you when your Pre-Order is ready to ship.

3.5 Order Acceptance and Cancellation

All Orders are subject to acceptance by us. We reserve the right to refuse or cancel any Order at our sole discretion, including but not limited to:

• Product availability

• Suspected fraudulent activity

• Pricing errors

• Violation of these Terms

If we cancel your Order, we will issue a full refund to the original payment method.

3.6 Pricing and Payment

All prices are listed in the currency indicated on the Product pages. Prices are subject to change without prior notice.

Payment must be made at the time of placing the Order. We accept payment via [Stripe / PayPal / other payment methods]. By providing payment information, you represent and warrant that you are authorized to use the payment method.

3.7 Taxes and Duties

All prices are exclusive of applicable taxes, duties, and customs fees. You are solely responsible for any import duties, customs fees, and local taxes that may apply to your Order.

4. Shipping and Delivery

4.1 Shipping Policy

We ship to the countries indicated at checkout. Shipping costs and estimated delivery times are displayed at checkout.

4.2 Title and Risk of Loss

Title and risk of loss for Products pass to you upon delivery to the carrier. We are not responsible for delays or damages caused by the carrier.

4.3 Customs and Import Duties

International Orders may be subject to customs duties and import taxes imposed by the destination country. These fees are your sole responsibility and are not included in the Product price or shipping charges.

5. Returns and Refunds

5.1 Return Policy

We accept returns of unworn, undamaged Products within 14 days of delivery. Products must be returned in their original packaging, including all accessories and warranty cards.

Return shipping costs are the responsibility of the buyer, unless the Product is defective or the return is due to our error.

5.2 Refund Policy

Upon receipt and inspection of the returned Product, we will issue a refund to the original payment method. Refunds exclude original shipping charges, unless the return is due to our error.

5.3 Non-Returnable Items

The following items are not eligible for return:

• Products that have been worn, used, or damaged

• Products returned without original packaging or accessories

• Custom or personalized Products

• Products purchased more than 14 days prior to the return request

5.4 Damaged or Defective Products

If you receive a damaged or defective Product, please contact us immediately at sales@tektora-watches.com with your Order number and photographs of the damage. We will arrange for a repair, replacement, or refund at our discretion.

6. Limited Warranty

6.1 Warranty Coverage

We provide a 12-month international warranty against manufacturing defects in materials and workmanship, effective from the date of delivery.

The warranty covers:

• Movement defects

• Dial and hands defects

• Crown and crystal defects (excluding scratches)

6.2 Warranty Exclusions

The warranty does not cover:

• Normal wear and tear (including scratches on the case, crystal, or strap)

• Damage caused by improper use, accidents, or misuse

• Damage caused by unauthorized repairs or modifications

• Water damage resulting from failure to maintain the crown properly

• Loss or theft

• Strap or bracelet wear

6.3 Warranty Claims

To make a warranty claim, contact us at sales@tektora-watches.com with your Order number and a description of the issue. We may require you to return the Product for inspection. If the claim is valid, we will repair or replace the Product at our discretion. If no replacement is available, we will refund you.

7. Intellectual Property

7.1 Ownership by Tektōra Limited

We own and retain all right, title, and interest in and to the Services, including the website, product designs, logos, trademarks, and all related intellectual property rights. You may not copy, reproduce, distribute, or create derivative works from any Content without our prior written consent.

7.2 Trademarks

“Tektōra,” the Tektōra logo, and all related trademarks are owned by Tektōra Limited. You may not use these trademarks without our prior written consent.

7.3 User Content

Any reviews, comments, or other content you submit to our Services (“User Content”) may be used by us for marketing and promotional purposes. By submitting User Content, you grant us a worldwide, royalty-free, perpetual license to use, reproduce, and display your User Content in connection with our Services.

WE SPECIFICALLY DISCLAIM ANY AND ALL STATUTORY OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TEKTŌRA LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US FOR THE PRODUCT GIVING RISE TO THE CLAIM.

You agree to defend, indemnify, and hold harmless Tektōra Limited, its affiliates, and its respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; or (c) your violation of any third-party right.

10. General Provisions

10.1 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Hong Kong SAR, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

10.2 International Compliance

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Tektōra Limited concerning the Services and supersede all prior agreements.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect, either by email or by posting a notice within the Services. 10.7 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or failures of public networks or telecommunications.

10.8 Survival

Upon termination of these Terms, any provision which, by its nature or express terms should survive, will survive termination, including but not limited to: Section 5 (Returns and Refunds), Section 6 (Limited Warranty), Section 7 (Intellectual Property), Section 9 (Disclaimers and Limitation of Liability), and Section 10 (General Provisions).
